Terms of Use (End-User License Agreement)

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and The Podly App Ltd (“Company”, “we”, “our”, or “us”) governing your use of the Podly: Daily Micro Learning mobile application and related services (collectively, the “App”).

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Scope of License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple App Store Terms of Service.

This license is for personal, non-commercial use only and does not allow you to distribute or make the App available over a network where it could be used by multiple devices at the same time.

2. Restrictions

You agree not to:

Copy, modify, or create derivative works of the App
Reverse engineer, decompile, or attempt to extract source code
Sell, rent, lease, or sublicense the App
Use the App for unlawful or prohibited purposes
Interfere with or disrupt the App or its servers

3. User Accounts

If the App requires an account:

You must provide accurate and complete information
You are responsible for maintaining the confidentiality of your credentials
You are responsible for all activities under your account

4. User Content

If you submit content through the App:

You retain ownership of your content
You grant us a worldwide, royalty-free license to use, store, and display it for operating and improving the App
You must not submit unlawful, harmful, or infringing content

5. Maintenance and Support

We are solely responsible for providing any maintenance and support services for the App, as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services.

6. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

7. Intellectual Property

All rights, title, and interest in the App (excluding user content) are owned by The Podly App Ltd or its licensors.

8. Warranty Disclaimer

The App is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law.

If applicable law requires any warranties, they are limited in duration to ninety (90) days from first use.

In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever.

9. Product Claims

We, not Apple, are responsible for addressing any claims relating to the App, including but not limited to:

Product liability claims
Any claim that the App fails to conform to legal or regulatory requirements
Claims arising under consumer protection or similar legislation

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App.

11. Indemnification

You agree to indemnify and hold harmless The Podly App Ltd from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

12. Legal Compliance

You represent and warrant that:

You are not located in a country subject to a UK, EU, or U.S. government embargo
You are not listed on any government list of prohibited or restricted parties

13. Third-Party Terms

You must comply with applicable third-party terms of agreement when using the App (e.g., your mobile data provider agreement).

14. Third-Party Beneficiary (Apple)

You acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as
